Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the MyFloww platform, related websites, and services (collectively, the “Services”) provided by Alura Agency LLC (“Alura”, “we”, “us”, or “our”). By creating an account, executing an order, or otherwise using the Services, you agree to these Terms. If you are entering into this agreement on behalf of an organization, you represent that you have authority to bind that entity.
1. Accounts & Eligibility
- You must be at least 18 years old and legally capable of entering into binding contracts.
- Account credentials are personal; you are responsible for maintaining confidentiality and for activities occurring under your account.
- We may reject or suspend accounts to protect security, comply with legal obligations, or prevent misuse.
2. Subscriptions, Fees & Payment
- Access to paid tiers requires an active subscription. Fees and billing cycles are specified at purchase.
- Payments are non-refundable except where required by law or stated otherwise in a signed order form.
- Late, rejected, or disputed payments may result in suspension or termination of Services.
- Prices exclude taxes, duties, or bank charges unless explicitly stated. You are responsible for all applicable taxes.
3. Service Scope & Availability
Alura provides a software-as-a-service platform to manage agency workflows. We strive for continuous availability but do not guarantee uninterrupted or error-free operation. Planned maintenance or emergency updates may reduce availability. Where possible, we will give reasonable notice via email or in-app messaging.
4. Acceptable Use
You agree to comply with all applicable laws and to avoid:
- Uploading or distributing unlawful, defamatory, or infringing content.
- Engaging in harassment, abuse, or threatening conduct within the platform.
- Attempting unauthorized access, reverse engineering, or interference with the Services.
- Sending unsolicited communications or spam through MyFloww.
- Using automations for illegal activities, including but not limited to fraud, money laundering, or prohibited adult content.
We may investigate suspected violations and suspend or terminate access to protect the platform or comply with legal requests.
5. Customer Data & Ownership
“Customer Data” means content submitted, stored, or generated in your account, including information about creators, team members, leads, and communications. You retain ownership of Customer Data. By using the Services you grant Alura a limited license to host, process, and transmit Customer Data solely to provide the Services.
You are responsible for obtaining necessary rights and consents to upload personal data to the platform. You must ensure your collection and processing of data complies with applicable privacy laws and with your own policies. Our use of personal data is governed by the Alura Privacy Policy.
6. Confidentiality
Both parties agree to treat non-public information exchanged under these Terms as confidential and to use it only for purposes related to the Services. Exceptions include information that becomes public without breach, was already known to the receiving party, or must be disclosed by law (with notice where permitted).
7. Security
We implement safeguards designed to protect the Services and Customer Data, including access controls, encryption in transit, logging, and regular reviews. However, no system is immune from vulnerabilities. You are responsible for securing devices, API keys, and integrations that connect to MyFloww.
8. Third-Party Integrations
The Services may integrate with third-party tools (e.g., messaging providers, calendars, CRMs). If you enable an integration, you authorize data exchange with that service. Alura is not responsible for third-party products, their security, or their compliance. Review vendor terms and privacy practices before enabling integrations.
9. Beta Features & Feedback
- We may offer pre-release or beta functionality. Such features are provided “as is” with no warranty and may be withdrawn at any time.
- Feedback, suggestions, or reports you provide may be used by Alura without restriction to improve the Services.
10. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ALURA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALURA’S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES IS LIMITED TO THE FEES PAID BY YOU TO ALURA IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. ALURA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
12. Indemnification
You agree to defend, indemnify, and hold harmless Alura, its affiliates, and their respective directors, officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:
- Your use of the Services in violation of these Terms or applicable law.
- Content or data submitted to the Services that infringes or misappropriates third-party rights.
- Your breach of obligations to your creators, team members, or customers.
13. Term & Termination
- These Terms remain in effect while you access the Services.
- You may terminate at any time by cancelling your subscription; fees already paid remain due.
- We may suspend or terminate access for non-payment, violations of these Terms, or legal/regulatory reasons.
- Upon termination, we will make reasonable efforts to allow export of Customer Data for 30 days, after which it may be deleted.
14. Modifications
We may update these Terms to reflect product changes, legal requirements, or operational adjustments. Revised Terms become effective upon posting, and we will notify you of material updates via email or in-app notification. Continued use after the effective date constitutes acceptance.
15. Governing Law & Dispute Resolution
- These Terms are governed by the laws of the State of Wyoming, without regard to conflict of laws principles.
- Disputes will be resolved through binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association, held virtually or in Sheridan County, Wyoming.
- Either party may seek injunctive relief in court for infringement, misappropriation, or misuse of confidential information.
16. Miscellaneous
- These Terms constitute the entire agreement between you and Alura regarding the Services and supersede prior agreements.
- Neither party may assign rights or obligations without the other party’s consent, except Alura may assign to an affiliate or in connection with a merger or acquisition.
- If any provision is deemed unenforceable, the remaining provisions remain in effect.
- Failure to enforce a provision is not a waiver of the right to do so later.
